The Legal & Compliance Division Head is responsible for overseeing the legal and regulatory compliance functions of the organization. This role ensures that the company adheres to all applicable laws, regulations, and industry standards while mitigating legal risks.

The position involves advising senior management, developing compliance policies, and ensuring corporate governance best practices.

Position Title: Legal and Compliance Head

Duties and responsibilities
  1. Leadership and Strategic Alignment
  • Lead the Legal and Compliance Division, ensuring alignment with corporate objectives and regulatory requirements.
  1. Legal Strategy and Document Management
  • Develop and implement legal strategies to protect the organization’s interests.
  • Review all divisional contracts and update internal documents to ensure legal compliance and accuracy.
  • Prepare contracts and other internal and external documents with legal implications.
  1. Compliance Oversight
  • Oversee compliance programs to ensure adherence to laws, regulations, and internal policies.
  • Review land acquisition documents, including clearance of Contracts to Sell (CTS) and Deeds of Absolute Sale (DOAS) before endorsement to the Executive Committee (ExCom) for signing.
  • Ensure compliance with Anti-Money Laundering Council (AMLC) regulations, including:
  1. Submission of required AMLC reports (e.g., Covered Transaction Reports (CTR) and Suspicious Transaction Reports (STR).
ii. Implementation of AMLA-related internal controls and risk mitigation measures.
  1. Legal Advisory
  • Provide legal advice on corporate governance, contracts, mergers and acquisitions, and other business matters.
  1. Regulatory Awareness
  • Ensure the organization stays updated on local and international regulatory changes.
  • Update the Management Committee (ManCom) and Executive Committee (ExCom) on new laws, policies, and government orders that may affect business.
  1. External Relations
  • Manage relationships with external legal counsel and regulatory bodies.
  • Represent the company in real estate organizations, such as the Subdivision and Housing Developers Association (SHDA) and others.
  1. Risk Management
  • Conduct risk assessments and develop mitigation strategies.
  1. Investigations
  • Oversee internal investigations related to compliance and legal matters.
  1. Representation and Litigation
  • File formal cases on behalf of the company as necessary.
  • Represent the company in any legal case filed against Primehomes and its personnel.
  • Represent the company in legal proceedings, negotiations, and dispute resolution processes.
Qualifications
  1. Bachelor’s or Master’s degree in Law (LLB or LLM) from a recognized institution.
  2. Minimum [4 -5] years of experience in corporate law, compliance, or regulatory affairs.
  3. Strong knowledge of industry regulations and legal frameworks.
  4. Experience in corporate governance, risk management, and contract negotiation.
  5. Excellent leadership and decision-making skills.
  6. Strong communication and negotiation abilities.
  7. Ability to work in a fast-paced, dynamic environment with high ethical standards.

Professional certifications in compliance or legal practice (CCEP, CPCO) are a plus.
